1. Agreement to these terms

These Terms of Service (the “Terms”) govern your access to and use of Pyniqa, including our website, apps, and related services (together, the “Service”). The Service is provided by Prayash LLC (“Pyniqa,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms. If you are using Pyniqa on behalf of a business, you agree to these Terms for that business and confirm you have authority to do so.

2. Accounts and account responsibilities

  • You must provide accurate information when you create an account and keep it current.
  • You are responsible for keeping your login credentials secure.
  • You are responsible for activity that happens under your account.
  • Let us know promptly if you believe your account has been used without your permission.

3. Business-owner responsibilities

If you are the owner or administrator of a business on Pyniqa, you control that workspace. You decide who has access, what each person can see, and how the information in your workspace is used. With that control comes responsibility:

  • You are responsible for how you and your team use Pyniqa and the data within it.
  • You are responsible for complying with the laws that apply to your business, including employment, labor, wage-and-hour, and privacy laws.
  • Where a feature collects information about your employees—such as location captured at clock-in—you are responsible for enabling it lawfully and giving your team any notice or obtaining any consent the law requires.
  • You are responsible for the accuracy of the schedules, records, and other data you enter.

4. Employee access

Employees and other team members access Pyniqa through the business that invited them. The owner sets each person’s access level and what they can see and do. If you are an employee, you should use Pyniqa in line with your employer’s policies. Pyniqa presents information and supports decisions—it does not make employment decisions for anyone.

5. Acceptable use

When using Pyniqa, you agree not to:

  • use the Service for anything unlawful, or to violate the rights of others;
  • access accounts, data, or systems you are not authorized to access;
  • upload content you don’t have the right to share, or that is unlawful or harmful;
  • interfere with, disrupt, or attempt to break the security of the Service;
  • copy, resell, or reverse-engineer the Service except where the law allows it.

6. Operational data

The operational information your business puts into Pyniqa—your schedules, tasks, records, documents, and the knowledge of how your business runs—belongs to your business, not to any individual. We process it to provide the Service to you. You are responsible for ensuring the data you enter is accurate and that you have the right to use it. How we handle personal information is described in our Privacy Policy.

7. Payroll, scheduling, and time-tracking disclaimers

Pyniqa gives you tools to build schedules and keep attendance and time-clock records. These are tools to help you run your business—not professional advice.

  • Pyniqa is not a payroll provider, accountant, tax advisor, or law firm, and does not calculate or file payroll or taxes.
  • Time and attendance records in Pyniqa are a record-keeping aid. You are responsible for reviewing them and for complying with wage-and-hour, break, overtime, and final-pay rules.
  • Scheduling tools help you plan coverage; you remain responsible for lawful and fair scheduling of your team.
  • Pyniqa does not guarantee that your use of these tools will meet any legal requirement.

8. Service availability

We work to keep Pyniqa reliable and available, but the Service is provided on an “as is” and “as available” basis. We don’t promise it will be uninterrupted or error-free, and we may need to perform maintenance or make changes to the Service over time. We’ll aim to limit disruption where we reasonably can.

9. Subscriptions, billing, and cancellation

  • Pyniqa is offered as a subscription. Current pricing is shown on our website.
  • Founding members receive 30 days free, then $49/month, and keep that founding rate for life while they remain continuously subscribed.
  • Subscriptions renew for each billing period until you cancel.
  • You can cancel at any time. Cancellation takes effect at the end of your current billing period, and you keep access until then.
  • If your subscription lapses, founding pricing may no longer be available when you return.

10. Intellectual property

Pyniqa, including its software, design, and branding, is owned by Prayash LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service while your account is active and in good standing. Your business keeps ownership of its own operational data; these Terms don’t give us ownership of it.

11. Limitation of liability

To the fullest extent permitted by law, Pyniqa and Prayash LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business, arising from your use of the Service. To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim arose.

12. Termination

You may stop using Pyniqa and close your account at any time. We may suspend or end your access if you violate these Terms or use the Service in a way that could harm others or the Service. When an account is closed, access to the Service ends, and data is handled as described in our Privacy Policy. You can request deletion of your account at any time through Delete Account.

13. Governing law

These Terms are governed by the laws of the State of California and the United States, without regard to conflict-of-law rules. Any dispute relating to these Terms or the Service will be handled in the state or federal courts located in California, unless the law requires otherwise.

14. Changes to these terms

We may update these Terms from time to time. When we make a material change, we’ll update the effective date above and, where appropriate, let you know. Continuing to use Pyniqa after a change means you accept the updated Terms.
